MeetConvert – Terms of Use

These Terms of Use (“Terms”) govern access to and use of MeetConvert (the “Software”), an automated B2B meeting-campaign application for Microsoft Dynamics 365 and Microsoft Teams developed, distributed, and supported by PowerData Dynamics UG (haftungsbeschränkt) (“PowerData Dynamics”, “we”, “us”). By installing, accessing, or using MeetConvert, the customer (“Customer”, “you”) agrees to be bound by these Terms. If you do not agree to these Terms, do not install or use the Software.

1. Acceptance of Terms

These Terms apply to any organization or individual that installs MeetConvert from Microsoft AppSource or otherwise obtains access to the Software from PowerData Dynamics. Use of the Software also requires a valid Microsoft Dynamics 365 environment and a Microsoft Teams connection, and is subject to Microsoft’s own terms governing those platforms and the AppSource marketplace, which apply in addition to these Terms.

2. License Grant

Subject to these Terms and full payment of any applicable subscription fees, PowerData Dynamics grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to install and use MeetConvert within Customer’s own Dynamics 365 environment, solely for Customer’s internal business purposes and for the number of users or environments covered by Customer’s subscription.

This license does not transfer any ownership in the Software. All rights not expressly granted are reserved by PowerData Dynamics.

3. Acceptable Use

Customer agrees not to, and not to permit any third party to:

  • copy, modify, reverse engineer, decompile, or create derivative works of the Software, except to the extent such restriction is prohibited by applicable law;
  • resell, sublicense, rent, lease, or otherwise make the Software available to any third party outside Customer’s own organization;
  • remove or obscure any proprietary notices contained in the Software;
  • use the Software to import, contact, or process meeting participants or other contacts without a lawful basis for doing so, or in a manner that infringes the rights of any third party;
  • use the Software to send unsolicited bulk communications (spam) in violation of applicable anti-spam or electronic-marketing law;
  • attempt to circumvent any licensing, usage, or security controls built into the Software.

4. Subscription, Fees and Term

Where MeetConvert is obtained through Microsoft AppSource, subscription fees, billing cycles, and payment terms are handled through Microsoft’s commercial marketplace and the associated Microsoft transaction terms. These Terms govern Customer’s use of the Software itself; they do not alter the billing relationship between Customer and Microsoft.

These Terms remain in effect for as long as Customer maintains an active subscription to MeetConvert.

5. Intellectual Property

MeetConvert, including its source code, design, documentation, and associated trademarks, is and remains the exclusive property of PowerData Dynamics UG (haftungsbeschränkt). Nothing in these Terms grants Customer any right, title, or interest in PowerData Dynamics’ intellectual property except the limited license expressly set out in Section 2.

6. Data Protection

MeetConvert operates within Customer’s own Dynamics 365 environment and does not require meeting-participant or campaign data to be transferred to PowerData Dynamics for the Software to function. Customer remains responsible, as data controller, for ensuring it has a lawful basis to import, contact, and track the participants it processes through the Software. Where PowerData Dynamics does process personal data in connection with support or account administration, that processing is described in our Data Protection Policy.

7. Support and Maintenance

PowerData Dynamics provides standard product support for MeetConvert as described on the MeetConvert Customer Support page. Support includes assistance with installation, configuration, product defects, and general product usage.

Support is available during published business hours. Response targets and support procedures are described in the Customer Support documentation.

8. Customer Responsibilities

Customer is responsible for:

  • Maintaining valid Microsoft licenses required for Microsoft Dynamics 365, Microsoft Teams, and Microsoft 365 services used with MeetConvert.
  • Ensuring that Customer has all necessary rights, permissions, and lawful bases required to process personal data through MeetConvert.
  • Configuring and securing its own Microsoft tenant, Dynamics 365 environment, and Teams environment.
  • Managing user access and permissions within Customer systems.

9. Confidentiality

Each party agrees to protect the confidential information of the other party using reasonable administrative, technical, and organizational measures. Confidential information may only be used for purposes directly related to the use and support of the Software.

10. Export Compliance

Customer agrees to comply with all applicable export control and sanctions laws and regulations. Customer may not use, export, re-export, or transfer the Software in violation of applicable laws.

11. Force Majeure

PowerData Dynamics shall not be liable for delays or failures caused by events beyond its reasonable control, including failures of Microsoft services, Azure services, internet service providers, telecommunications networks, natural disasters, labor disputes, or governmental actions.

12. Entire Agreement

These Terms constitute the entire agreement between Customer and PowerData Dynamics regarding MeetConvert and supersede all prior discussions, communications, or agreements relating to the Software.

13. MeetConvert – Additional Data Processing Notice

MeetConvert may process meeting-related information, attendee information, scheduling data, and Microsoft Teams metadata within Customer-controlled Microsoft environments. Customer remains responsible for ensuring compliance with applicable data protection and marketing laws, including GDPR and other applicable regulations.

14. Warranty Disclaimer

The Software is provided “as is” and “as available”. To the maximum extent permitted by applicable law, PowerData Dynamics disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. PowerData Dynamics does not warrant that the Software will be uninterrupted or error-free.

15. Limitation of Liability

To the maximum extent permitted by applicable law, PowerData Dynamics’ aggregate liability arising out of or relating to these Terms or the use of the Software shall not exceed the subscription fees paid by Customer for MeetConvert in the twelve (12) months preceding the event giving rise to the claim. PowerData Dynamics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable mandatory law, including liability for wilful misconduct or gross negligence.

16. Termination

Customer may stop using MeetConvert, and end its subscription, at any time in accordance with the applicable Microsoft AppSource terms. PowerData Dynamics may suspend or terminate Customer’s license if Customer materially breaches these Terms and fails to remedy the breach within a reasonable period after notice. Upon termination, Customer’s right to use the Software ends immediately; provisions of these Terms which by their nature should survive termination (including Sections 5, 14, 15, and 17) will continue to apply.

17. Changes to these Terms

PowerData Dynamics may update these Terms from time to time to reflect changes to the Software, our practices, or legal requirements. The updated Terms will be posted at this URL with a revised “Last updated” date. Continued use of MeetConvert after an update constitutes acceptance of the revised Terms.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, without regard to its conflict-of-law principles. The exclusive place of jurisdiction for any disputes arising out of or in connection with these Terms is Nuremberg, Germany, to the extent permitted by applicable law.
